Eligibility: The Axsom Air (the "Company") Sweepstakes Tankless Water Heater Giveaway is open only to legal residents of, and physically located within, the States of Louisiana; aged eighteen (18) years or older at time of entry; full time resident of the house to which the winning tankless water heater will be furnished; and located within an area serviced by the Company (an approximate 30 mile radius of a Company service center). Additionally, the winning home must have the infrastructure to install a tankless water heater, including a complete concrete slab and a natural gas connection, as determined by the Company in its sole discretion. Void where prohibited. All federal, state, and local laws and regulations apply. Employees and representatives of the Company and any of its respective parents, affiliates, subsidiaries, licensees or designees, and their immediate family members (herein, defined as spouses, parents/stepparents, siblings, children/stepchildren and each of their respective spouses, regardless of where they reside) and members of their household (whether related or not) are not eligible to participate. Participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Company, which are final and binding in all matters relating to the Sweepstakes and shall not be subject to appeal.

How to Enter: To be automatically entered, visit [www.AxsomAir.com] between April 14, 2025 and April 30, 2025 at 11:59 p.m. Central Time (the "Entry Period"), and provide your full name and E-Mail address. See below section titled "General" for additional rules regarding entry.

Prizes; Approximate Retail Values; and Odds: One (1) winner will receive one (1) Navien is the brand, 5 year parts warranty, 15 year heat exchanger warranty, 2 year labor warranty. The tankless water heating provided will range in value from $1200 - $2500. The cost of the unit and required labor does not reflect the full retail price. Odds of winning depend on the number of eligible entries received. Prizes pictured in advertising, marketing or promotional materials are for illustrative purposes only. the event there is a discrepancy or inconsistency between statements contained in any such materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. Prizes are awarded "as is" with no warranty or guarantee, either express or implied. Any applicable taxes and all other costs/expenses not specifically identified in these Official Rules are the sole responsibility of the winner. Prizes are nontransferable, and no substitutions or cash redemptions will be made, other than as provided herein. The Company reserves the right, at its sole discretion, to substitute an alternative prize, in whole or in part, of equal or greater value, if a prize cannot be awarded, in whole or in part, for any reason. Limit one (1) prize per household. See below section titled "General" for additional rules regarding acceptance of prizes.

Random Drawing and Notification: One (1) potential winner will be selected in a random drawing from among all eligible entries received during the Entry Period and will be announced on May 1, 2025, at approximately 2:00 p.m. Central Time. The potential winner will be contacted via telephone or E-Mail on or about May 1, 2025, using the contact information given at the time of entry in order to verify eligibility and confirm him or her as the winner. Entrants must have a valid E-Mail address, and it is entrant's responsibility to update the Company of any change in his or her email address. The potential winner will be required to sign an Affidavit of Eligibility and Publicity/Liability Release ("Release") at the Company's discretion before he or she is confirmed as the winner. In the event a winner chooses not to accept his or her prize, is not in compliance with these Rules, is unable to be notified, or cannot/does not respond by the deadline set by the Company (in these Official Rules or in the winner notification) the prize will be forfeited, and an alternate winner will be randomly selected from all of the remaining eligible entries.

General: By entering this Sweepstakes, entrants accept and agree to be bound by these Official Rules and the decisions of the Company on all matters relating to the Sweepstakes, which are final and binding. Participants are solely responsible for internet connectivity, software and/or hardware and data charges that may be required in order to submit an entry. By accepting a prize, the winner agrees to, where legal, the Company and its affiliates, subsidiaries or designees' use of his or her name, city, and state of residence, and likeness (including photos and/or videos) for advertising and publicity purposes related to the Sweepstakes in any and all media now or hereafter known throughout the world in perpetuity without further compensation, permission, or notification and, upon request, will provide consent to such use in writing. The winner is solely responsible for all local, state, and federal taxes on the prize, including sales or use taxes, as well as any expenses related to participation in the Sweepstakes or acceptance of a prize. By participating, entrant agrees to release and hold harmless the Company and its respective divisions, affiliates, subsidiaries, officers, directors, employees, agents, and representatives from any injury, loss, or damage to person, including death, personal injury, or loss or damage to property due in-whole or in-part, directly or indirectly, to the acceptance or use/misuse of a prize, participation in any promotion-related activity, or participation in the Sweepstakes.

The Company is not responsible for any typographical or other error in the printing of this offer, rules, administration of this Sweepstakes or in the announcement of the winner and prize. In the event the Company is prevented from continuing with the Sweepstakes, or the integrity and/or feasibility of the Sweepstakes as planned is undermined by any event including but not limited to fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment/internet/connectivity failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, the Company shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes and award the prize from among all eligible entries received up to that date.

The Company is not responsible for and may disqualify entries that are misdirected, undelivered, incomplete, illegible, inaccurate, damaged, stolen, late or lost; or for interrupted or unavailable network, server, Internet Service Provider, website, or other connections; or for computer hardware or software malfunctions, failures or difficulties. No automatic, robotic, mechanical entries or reproductions will be accepted. Entries become the property of the Company and will not be returned. The Company reserves the right to void all entries made through any robotic, automatic, mechanical, programmed or similar entry-duplication method, and to disqualify any individual using such an entry method. Proof of submission of an entry does not constitute proof of receipt of entry by the Company. If there is a dispute as to the identity of entrant or a dispute, or potential dispute, regarding the entry or any third-party rights, or if the Company has reasonable grounds for suspecting any breach or abuse of these Official Rules by any person involved in an entry, the affected entry will be deemed ineligible in the Company's sole discretion.

Governing Law: All disputes concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants or the Company in connection with the Sweepstakes shall be governed by and interpreted in accordance with the laws of the State of Louisiana without regard to its conflict of laws principles.
